Event Attendee Terms and Conditions

These Terms and Conditions (“Terms”) govern the attendance and participation of individuals or institutions (“Attendee”, “You”) attending any AlphaSense event namely “AlphaSummit” (the “Event”), including any physical event or any virtual event organized by AlphaSense, Inc. or its affiliated or authorized partners (“Organizer”, “We”, “Us”). By registering for and/or attending and/or participating in the Event,You agree to be bound and comply with the Terms hereunder. You represent to us that you are authorized to enter into these Terms.

Registration and Attendance:

  • Eligibility: Attendance at the Event is subject to the Organizer's eligibility criteria. The Organizer reserves the right to refuse registration or admission to anyone. By registering for the Event, you confirm that you are at least eighteen (18) years of age.
  • Registration Information: Attendees must provide accurate and complete registration information. The Organizer reserves the right to verify the information provided by Attendees and deny registration or entry if any details provided are found to be false, misleading or incomplete.
  • Confirmation: Registration is only confirmed upon receipt of full payment (if applicable) and issuance of a confirmation by the Organizer.
  • Admittance: Presentation of a valid ticket or confirmation (in physical or electronic form) may be required for entry. Attendees may also be required to produce an identity proof for admission to the Event. The Organizer reserves the right to refuse admittance or remove any Attendee who does not comply with these Terms, engages in disruptive behaviour or whose conduct is inappropriate or who poses a threat to security.
  • No Transfer: Unless explicitly permitted by the Organizer, tickets and registrations are non-transferable. Any unauthorized transfer of registration credentials may result in cancellation and refusal of entry.
  • Changes to Event: The Organizer reserves the absolute right to make changes to the Event program, speakers, schedule, format, location, and other aspects of the Event at any time without any prior notice or liability.
  • Cancellation/Postponement: The Organizer may cancel, postpone, or reschedule the Event for any reason beyond its reasonable control (e.g., force majeure events, public health concerns). In the event of such postponement or cancellation, the Organizer shall give notice to the Attendee as soon as reasonably practicable. In such cases, the Organizer's liability is limited to the refund policy in effect at that time. The Organizer is not responsible for any additional costs incurred by the Attendees, including travel, accommodation or lost business opportunities.

Fees and Payment (If Applicable):

  • Payment: Applicable fees must be paid no less than one (1) week prior to the Event date. Accepted payment methods will be outlined during the registration process.
  • Taxes: All fees are exclusive of any applicable taxes, which may be added to the total amount payable.
  • Refunds/Cancellations: Unless expressly stated otherwise, all Fees paid by the Attendee are non-refundable, except in cases where the Event is canceled by the Organizer and is not rescheduled.
  • No Show: Failure to attend the Event for any reason whatsoever does not entitle the Attendee to a refund.

Intellectual Property:

  • Organizer's Materials: All materials provided by the Organizer or its representatives at the Event, including but not limited to presentations, handouts, logos, and recordings, are the sole and exclusive property of the Organizer or its licensors and are protected by applicable copyright and other intellectual property laws. Attendees are granted a limited, non-exclusive, non-transferable license to use these materials for personal, non-commercial purposes solely related to their participation in the Event.

    Restrictions on use: Unless expressly authorized in writing by the Organizer, Attendee may not:

    • Copy, reproduce, modify, adapt, distribute, transmit, display, sell, license or create derivative works based on the Organizer’s Materials in the Event;
    • Record, photograph or distribute the content for commercial purposes, without prior written consent of the Organizer;
    • Use the Organiser's Materials in any manner against the Terms.
  • Attendee Content: Any material, comment or content submitted, presented or shared by the Attendees during the Event (“Your Content”) shall be the property of the respective Attendee. However by participating in the Event, You grant Us a non-exclusive, worldwide royalty-free license to use, reproduce, publish, and assign an irrevocable, non-exclusive, perpetual, worldwide, royalty-free right and license to use, reproduce, modify, distribute, and translate, for any purpose relating to our business, all or any part of Your Content. We may edit Your Content, use them alone or together with other information, and allow others to use and disseminate them. To the maximum extent permitted by law, you waive any moral rights you may have in Your Content. You represent and warrant that (a) Your Content are true and accurate to the best of your knowledge, (b) you have the necessary rights and permissions to grant the license in this Section, and (c) Your Content do not violate or infringe any copyright, trademark, or other proprietary rights of any person or entity.
  • Photography and Recording: The Event may be photographed and recorded by the Organizer. By attending, Attendees grant the Organizer the right to use their image, likeness, voice, and any statements made by them in any media (including but not limited to photographs, videos, and audio recordings) for promotional and marketing purposes without further consent or compensation.

    Attendees are generally permitted to take photos and videos for personal, non-commercial use, provided it does not disrupt the Event or infringe upon the rights of others. The Organizer may restrict photography and recording in certain sessions or areas.

Privacy:

  • Data Collection: By registering for and attending the Event, Attendees consent to the collection, use, and processing of their personal information, including but not limited to your name, email address, phone number, billing information and any other details provided for registration for the Event ( collectively “Personal Data”).
  • Communications: Attendees may receive communications related to the Event, including updates, announcements, and promotional materials in accordance with regional and local privacy laws. Attendees have the option to opt-out of promotional materials and communications..
  • Compliance with Privacy Policy: All collection, use, storage and disclosure of Personal Data in connection with the Event shall be carried out in accordance with our privacy policy, which is available at https://www.alpha-sense.com/privacy-policy/ (“Privacy Policy”). By registering for and attending the Event, you acknowledge that you have read, understood and agreed to be bound by the terms of this Privacy Policy.
  • Data Sharing: Where applicable, the Organizer may share your Personal Data with Event partners or sponsors only in the course of supporting the Event in accordance with the Privacy Policy.

Limitation of Liability and Disclaimer:

  • Assumption of Risk: Attendees acknowledge that participation in the Event may involve certain risks, and they voluntarily assume all such risks associated with their attendance, including but not limited to personal injury, property damage, or loss.
  • Disclaimer of Warranties: The Event is provided on an "as is" and "as available" basis without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Limitation of Liability: To the maximum extent permitted by applicable law, the Organizer, its affiliates, employees, agents, and representatives shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages (including but not limited to loss of profits, data, use, goodwill, or other economic advantage) arising out of or in any way connected with the Event or the Attendee's participation in it, even if the Organizer has been advised of the possibility of such damages.

    In no event shall the Organizer's total liability to any Attendee (whether in contract, tort, negligence, strict liability or otherwise) for any claim arising out of or relating to the Event shall not exceed the amount of the registration Fees, if any, paid by the Attendee.

  • Force Majeure: The Organizer shall not be liable for any failure or delay in performing its obligations under these Terms due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, government actions, pandemics, or power or internet outages (“Force Majeure”).

Indemnification:

Attendees agree to indemnify, defend, and hold harmless the Organizer, its affiliates, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • their attendance, participation or conduct at the Event;
  • breach of these Terms, or their violation of any applicable law;
  • infringement of any third party rights, including intellectual property rights;
  • Any loss, injury, or damage caused by Attendee to person or property at the Event.

Governing Law and Dispute Resolution:

  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.
  • Dispute Resolution: Any dispute arising out of or relating to these Terms or the Event shall be subject to the exclusive jurisdiction of the courts located in the State of New York.

Code of Conduct

All Attendees are required to behave professionally and respectfully at all times during the Event. The Attendee agrees to not indulge in any prohibited conduct, including but not limited to:

  • Verbal abuse, intimidation, threats or discriminatory comments;
  • Harassment of any kind, including sexual harassment;
  • Unwelcome photography or recording of individuals without their express consent;
  • Disruption of presentations, activities or sessions;
  • Unauthorized use of event space, logos or branding;
  • Damage to the property belonging to the Organizer or venue or another Attendee;
  • consumption of illegal substances or intoxication that caused disruption to the Event.

All Attendees must respect and comply with all applicable laws, rules and regulations of the states, counties, cities, and other countries or jurisdictions.

The Organizer reserves the right to investigate all allegations of misconduct and take appropriate action, including but not limited to, expulsion from the Event, revocation of registration and reporting to local authorities.

Miscellaneous:

  • Entire Agreement: These Terms constitute the entire agreement between the Attendee and the Organizer with respect to the Event and supersede all prior or contemporaneous communications and proposals, whether oral or written.
  • Waiver: The failure of the Organizer to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  • Modifications: The Organizer reserves the right to modify these Terms at any time by posting the updated version on the Event website or otherwise communicating them to Attendees. Continued attendance at the Event after such modifications constitutes acceptance of the updated terms.
  • Assignment: You will not transfer any of your rights, liabilities or obligations nor will you sub contact any of your obligations under these Terms, in whole or in part, without obtaining prior written consent of the Organizer. The Organizer may assign its rights and obligations to any affiliated entity or successor.
